Property in Noida and Greater Noida is largely leasehold, allotted by a development authority rather than sold as freehold land. That single fact changes how every resale works — and it is where most first-time buyers get caught out. Here is what actually governs your transaction, with links to the official government portals where you can verify everything yourself.
RULE 01
UP RERA registration is not optional
Under the Real Estate (Regulation and Development) Act, 2016, any project above eight units or 500 sq m of land must be registered with the Uttar Pradesh Real Estate Regulatory Authority before it can be advertised or sold, and the agent facilitating the deal must hold a valid UP RERA agent registration number. Selling or marketing an unregistered project is illegal and carries substantial penalties. Verify the project and the agent yourself, free, before you pay any booking amount.
RULE 02
Stamp duty is paid on circle rate or deal value — whichever is higher
In Uttar Pradesh, stamp duty is charged at 7% of the property value with a 1% registration fee on top, and the value is taken as the higher of the notified circle rate and the actual transaction value. A rebate is available to women buyers. Circle rates are set district-wise by the District Magistrate and differ by sector, property type and road width, so always check the rate for your exact location before budgeting. Rates and rebates are revised periodically — confirm the current figure officially.
RULE 03
Transfer Memorandum: the charge nobody warns you about
Because the land is leased by the authority, a resale flat or plot cannot simply change hands between two private parties. The authority must record the transfer and issue a Transfer Memorandum, and TM charges are payable over and above stamp duty and registration. Pending lease rent, water or maintenance dues will stall the application at the counter. Transfers to blood relatives are treated differently. RULE 04
TDS, capital gains and the seller’s obligations
On property transactions above ₹50 lakh, the buyer must deduct TDS on the sale consideration and deposit it against the seller’s PAN — a step that is routinely missed and creates trouble at assessment. Sellers should plan for capital gains treatment and any available reinvestment relief. If the seller is an NRI, the withholding rules are entirely different and must be handled before the deal closes, not after. We flag all of this early and coordinate with your CA.
